Merger is a done deal. FINRA/SEC have nothing to do with that and less if the companies are form a different country.
What has to be approved are the buyout conditions, which is a different thing.
Conditions should give an opt-out cash option as the company is going private. A fair price should be defined according to the conditions of the merger, not the conditions of current market price.
