On April 16, 2012, Tamar D. Howson and Virgil D. Thompson, members of the Board of Directors of Soligenix, Inc., notified the Company that they will not stand for re-election to the Board when their terms expire at the Company’s 2012 Annual Meeting of Stockholders to be held on June 21, 2012. Ms. Howson and Mr. Thompson will continue as members of the Board until the Annual Meeting. Neither Ms. Howson’s nor Mr. Thompson’s decision not to stand for re-election was the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
