thats correct-and just because they raise authorized shares(A/S) does not mean they are going to issue shares (outstanding shares) except Mr Chalk for 25% of Enigma and 30M to Bruce.

And any additional to raise more money just as they've already issued shares to pay off all known WOLV debt-all so far based on the Enigma deal being successful.

The carrot WOLV gave us and all those recently issued shares was the completion of the Enigma deal which requires Enigma to raise 2.5M dollars

in nervous pennyland its a psychological negative among pennytraders when a co raises A/S,esp when the co does not have net income yet,because its assumed- due to constant bashers games and experience- the co will undercut the value of shares by issuing shares at a discount-convertible notes etc which is so common to co's without net income

WOLV has never employed such poisonous financing to my knowledge and i see no reason why WOLV would now-it now has a positive balance sheet and some working capital (having paid all debt previously disclosed) but penny traders have been burnt so many times thats the fear

theres a tension between co's and holders.
Co's would prefer to issue new shares because the co receives the revenue from such- but such bleeds the otherwise raise in pps that would come from those buyers buying on the open market-which hurts the pps at which the co can issue future shares
so theres a lot of delicate balancing


as long as such issuance does not undercut the value of our shares no problem-see previous posts of mine on this board re the subject of dilution

recently the pps has risen because of the future value of the Enigma deal-but these things always take longer than expected on EVERY stock I've researched
so many get tired of waiting-which is exacerbated by out of left field by expected A/S increase to 5B

May 7 8k contemplated closing of the deal June 30

we've watched as intermediate steps were not concluded til after June 30-WOLV finishing paying off debt and raising closing costs July 13 and the official change of name Aug 12 necessary to reassure those who would invest 2.5 M into Enigma-

namely the transparency of a proper SEC reporting OTCQB vehicle-which Enigma did not have to reassure investors before -which we have to assume -given the extensive negotiations to set up this deal-was required by potential Enigma investors before they would invest

due to otc change of rules for OTCQB many SEC reporting co's are no longer on OTCQB due to the new 10k 'yr otc surcharge and 1c bid requirement

so the important thing is to be SEC reporting- OTCQB is just window dressing/bragging rights now- but many investors who are not familiar w the penny market-like the presumed potential Enigma investor pool -would not know that- so WOLV also took the additional step of rejoining OTCQB to reassure such potential investors

everything is being done to massage -make it easy for investors to invest in this project

when jv's etc are done raising the A/S to give a co more flexibility for such deals and future acquisitions can raise the value of the co in the eyes of such actual or potential jv partners also-so that may be a reason for the contemplated large raise in the A/S-though 1 or 2B A/S should be large enough to satisfy most of that desire
