A key point to remember is that we've never had a problem in the past with reaching a quorum. We've also never had proxies delivered late, nor have we had a RS to reduce each shareholder's number of shares.
This leads me to conclude the lack of quorum is related as follows:
1. Some shareholders don't vote even if proxy is delivered in plenty of time.
2. There has been an impact of non-voting based on late delivery for those who do typically vote.
3. I believe there is a general feeling that insiders could carry this vote and individual participation of retail shareholders was unnecessary. There have been numerous posts on various boards stating that insiders had enough to shares to pass the proposals, but this was clearly not the case as anyone who bothered to read the proxy would realize. This is how Obama typically works... throw out some "facts" that aren't supported and depend on people being too lazy to check for themselves.
