just scanning this briefly -since a lawsuit already is contemplated re fair value,sections 4.19 and 6.10 attempt to legislate away any takeover statutes,which is normal practice nowadays but not usually effective as companies cannot legislate their own liability-

same w overreaching indemnification of officers provisions inc by many co's etc which is also common language nowadays,though statutes do provide for reasonable protection of officers /b/d or nobody would serve.
