You read that from one of the doofus posters on YMB. The doofus is trying to spread fear, insinuating that lack of a filing may indicate failure to exercise the option to acquire ESS.
All of the details were laid out in the earlier acquisition filing. Since these details are already reported to the SEC and made public, I don't believe each individual step is required to be reported again. I expect we'll see a filing and a press release when the acquisition is final, and not until, unless the previously reported details change for some reason.
There is no reason to believe a lack of the option filing indicates anything other than things are going as planned on the timeline already reported.
