I will assume the spin-off will be traded on an american exchange. If this is true, here is a good read for people trying to understand how a spin-off works and what to expect from the parent company. Refer to section V and you will clearly see why I have doubts about this "quiet period".
Nothing has been filed with the SEC to this date, so why would they resign so early in the process?
