(the "Agents") to conduct a brokered offering of securities of the Company (the "Offering") to raise gross proceeds of up to $3,000,000 through the sale of up to 12,500,000 flow-through units (the "FT Units") at a price of $0.16 per FT Unit and up to 8,000,000 non flow-through units (the "Units") at a price of $0.125 per Unit.
