Question, if he did not become an active board member until Sept 1st, did they have to document his getting those shares, prior to assuming the position???

Couldn't it be listed as a debt paid though shares...somehow.????? Not a financial guy, especially on the corporate scale, , so my questions may seem ludicrous...
