Discussion, Decisions & Assignments:
First agenda item: Resignation of Mr. Frank Yglesias
The Board of Directors has met and discussed the email resignation of Mr. Frank Yglesias as both an Executive Officer and acting Board Member of California Grapes International, Inc. that was received on November 14th, 2012. In regards to this matter, the Board of Directors has voted;
Result: Unanimously “APPROVED”
Additional Comments: The Board of Directors has unanimously approved to accept the resignation of Mr. Frank Yglesias as both the Executive Vice President of Operations in China as well as the resignation as the Chairman of the Board of Directors for California Grapes International, Inc.
Second agenda Item: Beijing Jin Long Fei, LTD
In a follow-up email communication from Mr. Frank Yglesias, he has made his intentions clear with the statement that, as the “sole” authorized legal representative of the China Corp., California Grapes International, Inc. nor any of the Directors, executives or managers have any representation or authority over the actions he will be taking. As further expressed, he will
take immediate steps in liquidating the current inventory to alleviate debt and seek closing the China Corp under the Corporate Bankruptcy Laws of China. Mr. Yglesias, as the “sole” owner of Beijing Jin Long Fei, currently BR#2012-1119 USA Office: 2360 Corporate Circle Suite 400 Henderson, NV 89074

www.cagrapes.com has an outstanding debt of approximately $467,000.00 that is evidenced and recorded in the “CGI” Year End Financial Statement as a loan to the Beijing Subsidiary. The Board of Directors has voted to take immediate action to foreclose on Mr. Yglesias’s ownership position(s) of CAGR
preferred stock.
Results: Unanimously “APPROVED”
Third Agenda Item: Interim Chairman of the Board of Directors
The Board of Directors has nominated Jeffrey Crittenden to assume the position of “Chairman” of the California Grapes International, Inc. Board of Directors.
Result: Unanimously “APPROVED”
