JP, I agree and I understand the legal requirements, but if the company had enough insider votes to approve the AS increase on their own (without needing shareholder approval), by law they would inform the shareholders and then make the increase. Shareholders could decide if they wanted to remain a shareholder or unload their position. There would be no reason to conduct a shareholder vote in this scenario, and there would be no legal requirement to do so.
