On October 29, 2012, we completed the acquisition of the business currently operated by Network Billing Systems, LLC and Interconnect
Services Group II LLC (collectively, “NBS”). NBS is a Unified Communications and cloud services provider offering a wide range of hosted
voice and data products, as well as Internet, data networking and cloud services solutions to small, medium and large businesses in the United
States. For the year ended December 31, 2011, the Acquired Business had revenues of approximately $26.5 million and net income of
approximately $3.1 million. For the nine months ended September 30, 2012, the Acquired Business had preliminary unaudited revenues of
approximately $20.3 million and unaudited preliminary net income of approximately $2.7 million.
