Baron has entered into an agreement with two shareholders of CYBK to exchange their shares of CYBK
for shares Baron shall receive in October. Baron has guaranteed the shareholders a price of $.034 per
shares when they receive their shares in October and should the value be less then Baron shall issue
each additional shares to make up any shortfall.
