I think you are misreading what Bud Guy is stating...
If Sal is in fact, Chairman of the Board, he will have very limited "control" over the company. His main purpose would be leadership at a very high-level and oversight of fiscal policy and guidance, and applying direction to the Board of Directors, who as a consensus, would steer the company strategically.
I have been an active BOD member for several corporations, beginning with the technical advisory board, and leading to the CFO/CIO on several Co. BODs.
