Regarding the company being spun off and run by Sal?
Chairmen of the Board are not responsible for the day-to-day operation of the company and/or subsidiaries. They provide general co. oversight and direction and serve for and at the discretion of shareholders. When not elected by shareholders, typically they are elected by the company directors who also serve on the BOD.
If Sal is serving in this capacity, he can be voted out as quickly as voted in by the BOD and/or shareholders.
More details on whether Angel continues to lead, manage and direct the day-to-day operation(s).
