"What is going on here?"
One of NEWL's arrangements is with a company called Hanover. Hanover purchased some of NEWL's debt and NEWL now will issue shares in exchange for extinquishing that debt. Hanover and a related company, MGP, will immediately sell those shares into the market and that will continue until certain thresholds are met or for several more months. That selling isn't likely to end any time soon.
This would be a good stock to avoid altogether.

Yes, I understand your penny stock also is the real deal, created with the inventiveness of Edison and destined to be the next Microsoft. Yes, I understand that the delays are also only because your company is making their product and/or technology even more revolutionary.
