("On4") (OTCQB: ONCI) is pleased to announce that in anticipation of the closing of the Share Exchange Agreement between On4 and NetCents Systems Ltd., both parties have completed their pre-condition due diligence are moving forward to the closing of the previously signed Share Exchange Agreement. The date of closing has been set for October 31, 2012 which coincides with the yearend of both companies.

As previously released, On4 is in the process of changing its corporate name from On4 Communications, Inc. to NetCents Systems International Ltd. The new name has been reserved with the State of Delaware, the necessary resolutions have received shareholder approval and all required documentation has been prepared and is expected to be filed within a few days. It is anticipated that the name and symbol change will be in effective prior to October 31, 2012, in time for the planned closing of the share exchange agreement previously signed between On4 and NetCents Systems Ltd.
