The debt holder agreed to take a boatload of discounted restricted shares for the debt owed him by HPNN. This is only good for a year. Then all those shares become free trading and will dilute the crap out of the current outstanding common shares. In essence Michaels and HPNN did dilute this stock heavily, it will just be delayed for a year. And, at a very heavy price.
