The 8-K reads verbatim: "Under the terms of the Agreement, a copy of which (without exhibits) is attached to this Current Report on Form 8-K as Exhibit 10."

Note parenthetical "without exhibits." If you read the first part of the 8-K just before Barrera's signature, you will see that what the public were given is Exhibit 10, not the full agreement. There are missing Schedules and Exhibits that contain information not to be released before the closing which is supposed to take place on or before June 30, 2014. A merger agreement has been signed, but the deal is not closed yet. Closing establishes the "Effective Time."
