Response to question two first:
2) Depends on the definition of affiliation. I do not think a paid consultant is affiliated except in the doing business with capacity. Getting notes, convertible into stock, does now make him (Gelmon) affiliated with AEGY? I would gander to say, it is a derivative of the stock AEGY. So now he is a part owner in AEGY. Therefore, I would say he is affiliated

1) It appears in the least, the control of AEGY is indeterminate or in flux. The pirates are all over the place it seems. No control can raise a few eyebrows from the SEC for sure.
