No doubt SKTO should get a larger percentage of shares in the merger.
Maybe this was Jan's plan to take control of SKTO. Now he feels he can get 1:1 based on market value. Maybe he's behind the bashing. SKTO's pps should be 10x's higher based on revs and share struct.
