So your saying he has no choice about when and the amount of stock is sells legally??  I admit i'm new to this, but when I had stock options I was the one who exercised that right when I wanted.  Now I was NO CEO mind you, but your 100% sure this was not his decision.  I will leave it at that, because I honestly don't know.
