ARTICLE IV CAPITAL STOCK is amended to read as follows:

The maximum number of shares that this Corporation shall be authorized to issue shall be seven hundred fifty million (750,000,000) shares of common stock, par value $.001, and 4 million shares (5,000,000) of preferred stock, par value $.001. Series of preferred stock may be created by the Board of Directors from time to time, with such preferences, rights, qualifications, limitations, or restrictions as the Board of Directors shall so designate.
