PLAN OF DISTRIBUTION
Each BMSN common and preferred shareholder of record as of the Record Date will receive one common share of Regen for each 140 common and/or preferred shares of BMSN held of record as of that date. No fractional shares will be distributed. The Distribution Date will be ---- days after the Record Date.
