Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 10, 2012, Treaty Energy Corporation (the “Company”) appointed George W. Warren, Jr., as a director of the Company, effective September 1, 2012.
Mr. Warren has not entered into a compensation agreement with the Company and has not entered into any arrangement or understanding concerning his appointment as a director of the Company.
The Company incurred a debt obligation to Mr. Warren which was recently settled via an issuance of shares that were valued at $127,500.
