sorry again..you didn't answer my question pertaining to the company. a generic definition doesn't apply here. there is no trading company at the moment. Therefore to create a share structure, share holders of record must submit their certificates in order to create a structure so the company can trade. it's not the company which is going to front the tab for the conversion. so there is no debt being created for the company. Sorry. MS- market specialist will be flipping for the tab. But EVEN if they did pay for my certificate. I see NOTHING wrong with that given the SPO. seems great to me. min.$2.50 per/sh x 100k common.

Again there is NO DEBT ON THE BALANCE SHEET! that cannot be denied.
