It really is some accounting tricks.  Everyone does it and it can be effective to spur some investor confidence in a company, but it does prey on the naive investor.  He must get everything done he has laid out to be completed in September.  Then he MUST use the funds from the group of shareholders to get that brokerage acquistion signed ASAP (assuming thats what the money is for).  Let's get some material events reported Mr. Dwyer and get this damn pps out of the cellar!
