We are excited to announce an upcoming Extraordinary General Meeting (EGM) for AB Akola Group, a significant gathering for all our esteemed shareholders. As we come together to discuss crucial matters affecting our company, your participation is highly valued.
Details of the Meeting
The Extraordinary General Meeting will take place on 29 April 2025, starting at 10:00 a.m. at the headquarters of AB Akola Group. Our registered office is located at Suba?iaus St. 5. This meeting is an essential opportunity for shareholders to engage and make their voices heard on key resolutions.
The record date for attendance, where only shareholders present at that time will be entitled to participate and vote, is set for 22 April 2025. To be eligible, you must hold shares by the end of this accounting day.
Moreover, on 14 May 2025, we will have the Rights Accounting Day. This means only shareholders registered at that time will hold proprietary rights.
Voting Rights Information
As of the date of the meeting, AB Akola Group has a total of 167,170,481 shares issued, with 166,566,819 shares carrying voting rights. Each share entitles the holder to one vote. Notably, the shares held by the Company, totaling 603,662, do not provide voting rights.
Agenda for the EGM
The agenda will cover the following key issues:
- Election of the assurance service provider for the consolidated sustainability report of AB Akola Group.
- Approval of the revised Regulations of the Audit Committee.
- Determination of the remuneration for the members of the Audit Committee.
Registration Process
Registration for shareholders will commence on the day of the meeting, starting at 9:30 a.m. and concluding at 9:55 a.m. It is important for all attendees to confirm their presence during these times. Please note that there will be no provisions for attending remotely.
Shareholders, their representatives, or individuals with an agreement for voting rights must present identification to participate. Representatives must also provide proof of their right to vote.
Shareholder Participation Rights
All shareholders have the right to authorize another individual to attend and vote on their behalf. The authorized individual will possess the same voting rights unless otherwise stated in the power of attorney. Any power of attorney issued outside of the country needs to be translated into Lithuanian and properly legalized.
Shareholders holding at least 1/20 of the voting rights can propose items for the agenda or any amendments by sending them to us in writing, at least 14 days prior to the meeting.
Proposing Questions and Decisions
All shareholders are welcome to submit queries relating to the agenda. Questions should be sent in writing at least three working days before the meeting, including the shareholder’s identification number. Responses to general inquiries will be made available on our official website, ensuring that all shareholders have access to important information.
Furthermore, shareholders or their authorized representatives can vote in writing prior to the meeting by using the General Voting Ballot. This document will be provided upon request and needs to be submitted no later than 28 April 2025, at 4 p.m.
