If your business is a C corporation and meets certain criteria, you may be able to exclude a significant portion — or even all — of your gain from federal taxes through Section 1202 of the Internal Revenue Code. This provision applies to what’s known as qualified small business stock.

There are also limits on the corporation’s assets (generally under $50 million) and the type of business it operates. These professionals can help you evaluate offers, structure the deal properly, negotiate favorable terms, and ensure you’re not leaving money on the table — especially when it comes to taxes.
