Devonian Health Group Welcomes New CFO and Stock Options Update

Leadership Changes at Devonian Health Group

Devonian Health Group Inc. (OTCQB: DVHGF) is excited to announce the appointment of Dennis Turpin as the new Chief Financial Officer. This strategic move is effective immediately, marking a significant shift in the management structure of the company. Turpin, who also retains his position on the Board of Directors, brings over 25 years of invaluable experience in finance, primarily within the biopharmaceutical sector.

Touted as a seasoned executive and a certified public accountant (CPA), Mr. Turpin has made remarkable contributions in areas ranging from capital markets transactions to business development and mergers and acquisitions. This combination of skills positions Devonian to further enhance its operational effectiveness and financial performance.

Commenting on the change, Dr. André P. Boulet, the CEO, expressed confidence in Turpin's ability to elevate the company’s management strategy, stating, "I am pleased to welcome Dennis and am reassured that his diverse experience will enrich our leadership team and steer our growth initiatives at Devonian." This leadership transition comes alongside plans for Turpin to smoothly succeed Viktoria Krasteva, who will continue to support the company through February, ensuring a seamless handover.

Stock Options Granted to Dennis Turpin

In addition to his leadership role, Mr. Turpin has been granted 25,000 stock options, which will vest immediately and are exercisable at a price of $11.50 for the next ten years. This generous compensation package not only aligns his interests with those of the shareholders but also underscores the company’s commitment to attracting top talent in its pursuit of innovation in fibroinflammatory diseases.

Correction on Stock Options Issued

Devonian also issued a correction regarding the press release from December, which discussed the allotment of 2,948,056 stock options to its directors and consultants. In addition, 385,950 options were granted to employees with another 100,000 options directed towards a research and development consultant. After reevaluating the exercise price, it is confirmed that the correct price is now set at $0.19, a slight adjustment reflecting market conditions at the time of the grant.

Moreover, due to a recent share consolidation where one new common share replaces every 60 shares, all stock options were adjusted accordingly. Each block of pre-consolidation options now represents post-consolidation options, demonstrating the company’s adherence to its stock option plan and ensuring fairness for all stakeholders involved.
