ATHA Energy Announces Proposed Option Agreements

The properties lie within the Needle Falls Shear Zone ("NFSZ"), where significant regional-scale tabernor faults—known for their uranium mineralization—have been identified. The Spire Horizon Projects are highly promising for uranium exploration, with numerous uraniferous boulders and outcrops already discovered. Recent exploration activities in the vicinity include ATHA’s Gemini Project, which features the shallow basement-hosted, high-grade uranium GMZ discovery. During ATHA’s inaugural 2023 Exploration Program, the Company conducted electromagnetic ("EM") surveys using Xcite’s MobileMT (MMT) & Mag system, along with Geotech’s VTEM-max system. These surveys revealed approximately 144 km of cumulative conductors associated with the NFSZ and regional cross-cutting structures, highlighting a high concentration of shallow, prospective exploration targets for uranium mineralization.
Details of Pasfield Lake Project
The Pasfield Project comprises 16 mineral claims covering 68,768 hectares, located within the Athabasca Basin. It is situated within the Cable Bay Shear Zone, adjacent to ATHA’s Ridge Project, which is part of the Company’s Cable Bay Exploration District. During ATHA’s inaugural 2023 Exploration Program, an EM survey was conducted on Ridge using Xcite’s MMT system. Following this, in early 2024, ATHA will utilize GNR’s airborne gravity system and Space Fleet’s Ambient Noise Tomography ("ANT"). These surveys have identified structural corridors extending from Ridge to the Pasfield Project. Notably, T92’s previous ANT survey detected a low velocity anomaly, suggesting a prospective alteration halo. T92 has also made considerable investments in infrastructure at the Pasfield Project, including road access and a year-round exploration camp, which will help lower capital costs for future exploration initiatives.
Option Agreements and Terms
Spire Horizon Option Details
As per the terms of the LOI, upon entering into a Definitive Agreement, ATHA will grant T92 the right and option to acquire up to a 70% interest in the Spire Horizon Projects (referred to as the "Spire Horizon Option"). In exchange, T92 is required to incur a minimum of $4,750,000 in exploration expenditures. Additionally, T92 must spend at least $750,000 on statutory exploration by a specified date, along with increased expenditures at subsequent milestones outlined in the agreement.
Pasfield Project Option Terms
According to the LOI, upon entering into a Definitive Agreement, T92 will grant ATHA exclusive rights and options to acquire interests in the Pasfield Project. Each Pasfield Option allows ATHA to acquire an undivided 15% interest through specific funding or drilling activities. After exercising each option, ATHA can convert its interest into a net smelter returns royalty ("NSR") for a potential total of 4%. A joint venture on the Pasfield Project will be established once specific option criteria are met.
