The recent data from Broadridge’s ProxyPulse™ report indicates a noteworthy shift in the landscape of individual investor engagement. For the first time in a decade, individual investors have significantly increased their ownership and voting participation.
A Rising Tide of Individual Investors
With individual investors owning 31.7% of the shares held in street name, a slight increase from 31.5% last year, there is a clear trend of rising engagement. This growth in ownership has been accompanied by an uptick in voting participation, which now stands at 29.8% of held shares. This marks the highest participation rate in nearly nine years, demonstrating that individual investors are eager to exercise their voting rights.
Institutional vs. Individual Voting Patterns
Interestingly, the report also highlights the disparities in voting patterns between individual and institutional investors. Chuck Callan, Broadridge's Senior Vice President of Regulatory Affairs, pointed out that individual and institutional investors differ significantly in their voting behavior, especially concerning environmental and social proposals. This divergence suggests a growing need for fund companies and institutional asset managers to consider how they engage their investors, allowing them to voice their opinions on critical governance matters.
Increased Support for Director Proposals
The report reveals a notable increase in support for corporate directors and say-on-pay proposals. On average, director proposals garnered an impressive 91% approval from shareholders, while say-on-pay proposals received 88% support. Fewer director and pay proposals failed to gain majority support compared to previous seasons, reflecting a trend towards greater confidence in corporate governance.
The Decline of Environmental & Social Proposal Support
Despite the overall positive outlook for director and say-on-pay proposals, support for environmental and social initiatives has begun to wane. Although the number of proposals increased to 166, the average support fell to 21.2%, marking the lowest level in eight years. Institutional investors demonstrated more significant support for these proposals, contrasting with the lower backing from individual investors, who averaged only 14.8% support.
